Tata Steel Invests $140 Million in Overseas Subsidiary T Steel Holdings

Tata Steel has invested another $140 million (₹1,340 crore) in its wholly owned overseas subsidiary, T Steel Holdings (TSHP), as the company continues to implement a broader funding plan approved earlier this year.

The latest investment was made through the acquisition of 162.04 crore equity shares of TSHP on August 27, according to the company’s regulatory filing. The shares carry a face value of $0.0864 each. The transaction does not alter Tata Steel’s ownership, with TSHP continuing to remain a wholly owned subsidiary.

Part of a $2-billion funding programme

The latest capital infusion is part of a larger funding programme approved by the Tata Steel board in March. Under the approval, the company can invest up to $2 billion in T Steel Holdings through one or more tranches.

The board had also increased Tata Steel’s overall investment limit in TSHP to $26.21 billion. Against that backdrop, the latest $140-million investment represents another step in the company’s planned deployment of capital into its overseas investment arm.

Tata Steel has not disclosed how the latest funds will be utilised by TSHP. The company had last provided an update on the investment programme on June 24.

For regulatory reporting, Tata Steel converted the dollar-denominated investment into Indian rupees using the Reserve Bank of India’s August 24 exchange rate of ₹95.7258 per dollar.

T Steel Holdings role in Tata Steel’s global operations

T Steel Holdings serves as Tata Steel’s wholly owned overseas investment vehicle and sits within the group structure through which the steelmaker holds several of its international businesses.

The latest equity subscription therefore strengthens the capital base of the overseas subsidiary without changing its ownership structure. Tata Steel continues to hold 100% of TSHP following the transaction.

The investment comes as Tata Steel continues to manage its capital allocation across its Indian and international operations. The company’s overseas businesses form an important part of its broader global presence, making TSHP a key entity within its corporate structure.
