
Adani Ports and Special Economic Zone Ltd is set to acquire Jaiprakash Fertilisers and Industries Ltd as part of a strategic move to strengthen its inland logistics network in North India. The all cash acquisition will give APSEZ indirect control over Kanpur Fertilisers and Chemicals Ltd, a step down subsidiary of JFIL that owns around 243 acres of industrial and commercial land in Kanpur.
The land parcel is expected to play an important role in APSEZ’s logistics expansion strategy. The company plans to develop a large logistics park and warehousing hub at the site, strengthening its presence in one of North India’s key industrial and consumption markets.
The acquisition comes under the resolution plan submitted by Adani Enterprises for Jaiprakash Associates. The plan was approved by the National Company Law Tribunal’s Allahabad bench in March 2026 and was later upheld by the National Company Law Appellate Tribunal in May 2026. APSEZ said approval from the Competition Commission of India had already been secured in August 2025.
The proposed logistics development in Kanpur is expected to support APSEZ’s broader target of expanding its multimodal logistics park network from 12 to 16. The company is also working towards nearly quadrupling its warehousing capacity by 2031, as demand for integrated logistics, storage and distribution infrastructure continues to grow across India.
Kanpur’s location gives the project strategic importance. The city is well connected to industrial clusters, highways, rail networks and major consumption centres in Uttar Pradesh and neighbouring states. A logistics park at this location could support faster cargo movement, better inventory management and improved supply chain efficiency for businesses operating in the region.
JFIL, incorporated in 2010, operates in fertiliser and chemical related businesses, both directly and through group investments. The company reported standalone turnover of ₹25,000 in FY24 and ₹2,000 in FY25.
APSEZ said the transaction is expected to be completed within 90 days from the March 17, 2026, NCLT approval date, in line with the approved resolution plan.
