IHCL strengthens boutique luxury portfolio with Brij Hospitality acquisition

Tata Group backed Indian Hotels Company Limited has announced a strategic move to deepen its presence in the boutique leisure hospitality segment with the acquisition of a majority stake in Brij Hospitality Private Limited. The company said it has entered into share subscription and share purchase agreements to acquire around 51 percent equity in Brij Hospitality for an amount not exceeding Rs 225 crore, subject to customary conditions and regulatory approvals.

The transaction, expected to be completed on or before March 31, 2026, will be executed directly or through IHCL subsidiaries. Through this acquisition, IHCL will gain ownership of the Brij brand while continuing to work closely with the founding promoters to scale the boutique leisure offering across India.

Brij Hospitality currently operates a portfolio of 22 hotels, of which 11 are operational and 11 are under development, spanning around 440 keys. The brand has built a strong reputation for immersive, locally rooted hospitality experiences in destinations such as Jaipur, Varanasi, Dharamshala and other culturally significant locations. Its capital light business model, driven by management contracts and revenue sharing leases, reported a turnover of Rs 62.31 crore in FY25.

In an investor presentation, IHCL said the deal includes a primary investment estimated between Rs 105 crore and Rs 140 crore, along with a secondary share purchase of Rs 85 crore. The acquisition adds a differentiated boutique luxury brand to IHCL’s existing portfolio, complementing its Tree of Life brand and strengthening its leisure segment strategy.

IHCL Managing Director and Chief Executive Officer Puneet Chhatwal said the transaction builds on the company’s long standing partnership with the Clarks Group and enhances its footprint in offbeat and experiential destinations. He added that Brij’s presence across diverse locations will help IHCL become a more dominant player across price points, while keeping it on track to achieve its target of 700 hotels under the Accelerate 2030 vision.

Brij Hospitality’s founders said the partnership aligns their design led and experience driven approach with IHCL’s legacy of Indian hospitality, creating a strong platform to build a globally recognisable Indian boutique hotel brand.
